The following terms and conditions apply to your use of the Rate My Trucking platform and the services available on the platform. This includes mobile versions, as well as any other version of Rate My Trucking accessible via desktop, tablet, social media or other devices.

By using the platform, you agree to these terms and conditions and our privacy policy. In these terms and conditions, the words “platform” refer to the Rate My Trucking mobile application and the Rate My Trucking website together, “we”, “us”, “our”, and “Rate My Trucking”, refers to Rate My Trucking, and “you”, and “user”, refers to you, the Rate My Trucking user.

PLEASE READ THESE CONDITIONS CAREFULLY BEFORE USING THE SERVICES AND FUNCTIONALITIES AVAILABLE ON THE PLATFORM.

1. ACCEPTANCE OF TERMS

By accessing and using the Rate My Trucking platform, you agree to be fully bound by the terms and conditions set forth in this agreement. If you do not agree to any of the terms, you must refrain from using the platform or its services. We reserve the right to modify this agreement at any time. Any modifications will be effective upon posting on the platform. By continuing to use Rate My Trucking following the posting of a modification, you expressly agree to be bound by the updated terms. For this reason, we recommend that you review this agreement periodically to stay informed of any changes.

By using the platform, you represent and warrant that you have full legal capacity, power and authority to enter into this agreement and to perform your obligations hereunder. You further confirm that you are not subject to any legal, contractual or other restriction that limits or prevents your ability to accept these terms and conditions. You warrant that you will use the platform in accordance with applicable laws and regulations and that your use will not infringe any third party rights or contravene any applicable regulations.

Your acceptance of this agreement constitutes a binding commitment by you and any entity you represent to adhere to the terms set forth herein and any additional policies posted on the platform. This commitment includes your obligation to ensure that all information provided during registration and use of the platform is truthful, accurate and up to date. Rate My Trucking will not be liable for any breach of these terms by users, and any violation of these terms may result in the suspension or termination of your access to the platform.

2. NOTIFICATIONS AND NEWSLETTER

By providing your email address to Rate My Trucking, you agree that we may use your email address to send you notifications about Rate My Trucking. We may also use your email address to send you notifications and other messages, such as changes to platform features, news and special content. If you do not wish to receive these emails, you may opt-out of receiving them by submitting your unsubscribe request through the contact information or by using the “unsubscribe” option in the emails. Opting out may prevent you from receiving notifications and emails about updates, news or special content.

3. DESCRIPTION OF THE PLATFORM

Rate My Trucking is an online platform designed for drivers to share and view information about trucking companies. The application allows users to create reviews based on their work experiences, including aspects such as wages, benefits, working conditions and company management, thus providing a comprehensive view of companies in the industry.

Through Rate My Trucking, users have access to an extensive database of driver-generated reviews, with the goal of fostering transparency and providing useful information that facilitates informed decision-making when considering trucking company job opportunities. The platform also promotes a collaborative environment where drivers can contribute their opinions and experiences to benefit the community.

Rate My Trucking is conceived as a tool to facilitate interaction between drivers, encouraging the circulation of relevant and up-to-date information about the trucking sector, in order to generate a positive impact on the industry and on the professional decisions of its users.

4. REGISTRATION AND PROFILE CREATION

Rate My Trucking users can register on the platform by creating a personal profile that allows them to access all of the service’s functionalities, including the creation and publication of trucking company reviews. Registration can be done by providing basic information, such as a valid email address and password, or by using third-party authentication methods available on the platform. Once registration is complete, the user will be able to customize their profile, including the option to upload their curriculum vitae (CV).

The user’s profile serves as a tool for documenting and sharing work experiences. Users can add transportation companies they have worked for to the profile, linking them directly to the reviews they have posted on the platform. This allows users to create a visible work history that can be consulted by other members of the community to evaluate their contributions and perspectives within the industry.

The user is responsible for maintaining the confidentiality of their login credentials and for ensuring that the information provided in their profile is truthful, up to date and does not infringe on the rights of third parties. Rate My Trucking is not responsible for unauthorized activity resulting from negligent access to credentials by the user.

Users have the right to request cancellation or deletion of their account at any time through the tools provided on the platform or by contacting Rate My Trucking support team. The cancellation of an account will remove the user’s access to the platform’s services, but previously published reviews will remain visible. In the event of total account deletion, Rate My Trucking will make all reasonable efforts to delete all stored personal information, unless there are legal or contractual obligations requiring its retention.

Registration and use of Rate My Trucking implies acceptance of the platform’s Terms and Conditions, as well as its Privacy Policy, ensuring that users understand the rights and responsibilities associated with the use of their profiles and interaction with the community.

5. SUBSCRIPTIONS AND PAYMENTS

Our app offers auto-renewable subscription plans that provide access to premium features and enhanced functionality. Subscriptions are billed through your Apple ID account and will automatically renew unless canceled.

Payment and Renewal

Payment is charged to your Apple ID account upon confirmation of purchase.
Subscriptions automatically renew at the end of each billing cycle unless auto-renew is turned off at least 24 hours before the current period ends.
Your account will be charged for renewal within 24 hours prior to the end of the current subscription period, at the rate of the selected plan.

Managing Subscriptions

You can manage or cancel your subscription through your App Store account settings.
Turning off auto-renewal will stop future charges but will not refund the current billing period.

Free Trials

If a free trial is offered, it will automatically convert to a paid subscription unless canceled at least 24 hours before the trial ends.
Any unused portion of a free trial will be forfeited once a subscription is purchased.

Refund Policy

All payments are final.
Refunds are not provided for unused time or accidental purchases.
Any inquiries regarding billing issues should be directed to Apple Support, as all payments are processed by Apple.

All subscription payments are final and non-refundable. Please manage your subscriptions through your Apple ID account settings.

6. USER CONTENT

By using Rate My Trucking, users may create and share content, including reviews, comments, ratings and any other information generated on the platform. By posting such content, the user grants Rate My Trucking a worldwide, non-exclusive, transferable, sub-licensable, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute and display the content, in whole or in part, in any format or medium, for the sole purpose of operating, promoting and improving the platform and its services. This license includes the right of Rate My Trucking to incorporate the content in promotional and marketing campaigns, always respecting the privacy rights of users.

You warrant that the content you post is original, accurate and does not infringe on the intellectual property, privacy or other rights of any third party. In addition, the content must comply with all applicable laws and platform policies. It is strictly prohibited to post content that:

Contains offensive, discriminatory, threatening, defamatory, libelous or slanderous language.
Includes hate speech, incitement to violence or illegal conduct.
Infringes intellectual property rights, including copyrights, trademarks or patents.
Contains false, misleading or inaccurate information intended to injure others.
Infringes privacy rights or discloses personal information of third parties without their explicit consent.
Promotes illegal activities, fraud, obscene or sexually explicit content.
Include unsolicited advertising, spam, malicious links or malware.
Contains material that belittles, humiliates or causes psychological harm to other users or third parties.
Incites the commission of crimes or dangerous conduct that endangers people’s safety.
Spread unfounded rumors or defamation campaigns against persons, companies or entities.
Include unauthorized images, videos or audio recordings, especially if they violate privacy or property rights.
Provide inaccurate medical, financial or legal information that may mislead other users.
Impersonates, impersonates or attempts to impersonate another user, company or entity.
Contains excessively vulgar or explicit language that is inappropriate for the purpose of the platform.
Promotes the use of illegal substances, weapons or terrorism-related activities.

Rate My Trucking reserves the right to monitor all content posted on the platform to ensure compliance with these terms. This monitoring may include manual reviews by the management team and the use of automated tools designed to identify content that does not comply with the platform’s policies. The Rate My Trucking team, in its sole discretion, will evaluate and decide on the appropriateness of posted content.

Any content determined to be in breach of these terms will be removed from the platform without notice. Users whose content is removed may be notified and, depending on the severity of the violation, Rate My Trucking reserves the right to suspend or terminate the accounts of the responsible users. Rate My Trucking may also cooperate with legal authorities if the content in question violates local, state or international laws.

You are responsible for all content you post and agree to indemnify Rate My Trucking for any claims, damages, losses or expenses arising from the posting of content that violates these terms. Rate My Trucking fosters a respectful and professional community, and welcomes users to report any content they deem inappropriate or in violation of the platform’s policies.

Rate My Trucking does not verify or endorse any user-submitted content and assumes no responsibility for the accuracy or legality of any reviews or opinions posted by users. All opinions expressed are those of the individual users and do not reflect the views of Rate My Trucking. We encourage users to act responsibly and lawfully when posting content.

7. REVIEWS

Rate My Trucking allows users to create and publish detailed reviews of trucking companies to share their work experiences and help other drivers make informed decisions. Reviews are structured in a comprehensive manner, providing objective and relevant information about the most important aspects of each company. Users have the opportunity to highlight the Pros (positive aspects) and Cons (negative aspects) of working at a company, as well as include specific advice addressed to the company’s management. These tips are private and can only be viewed by the respective carrier.

The reviews also include an evaluation in six key categories: Communication, Organization, Dispatch, Flexibility, Compensation and Happiness. Each category is rated individually, contributing to an overall score that reflects the company’s overall performance from the driver’s perspective. In addition, three standard questions are posed to all users: whether they believe the company’s hiring pitch was truthful, whether they would recommend the company to their friends, and whether they received full pay upon leaving the company.

When creating a review, users must provide specific information about their employment relationship with the company, such as the month and year they began and ended their employment, the position they held (as a company driver, independent owner operator, or dispatcher), and their employment status (full-time employee, part-time employee, or 1099 contractor). Users also have the option to answer additional questions designed to delve deeper into their experience, with pre-determined answers that allow them to evaluate aspects such as the level of support received from dispatchers when faced with operational problems.

Before being published, all reviews are reviewed by an administrator to ensure that they comply with community standards and platform policies. Any content that includes inappropriate language, hate speech or disrespect will be rejected. Once approved, reviews are posted on the relevant company page within the app and highlighted on the home screen, ensuring visibility for the entire user community.

Rate My Trucking seeks to maintain a transparent and constructive environment for the exchange of opinions, so by submitting a review, users agree that their content will be publicly visible and may be used for the purposes provided for in the terms of the platform. The platform reserves the right to update the review and review publication processes to ensure the quality and relevance of the content shared. Published reviews may not be edited by users, but modifications or deletions may be requested through the support channels.

By submitting a review, you agree that Rate My Trucking has the right to host, display, and use the content indefinitely. Reviews remain the intellectual property of the author but are licensed to the platform for public and internal use without compensation.

8. LEGAL PROTECTIONS AND CONTENT MODERATION

Rate My Trucking operates as an online platform that allows users to share their opinions, reviews and experiences related to trucking companies. Pursuant to 47 U.S.C. Section 230, Rate My Trucking is not responsible for user-generated content, including comments, reviews, ratings or other information posted on the platform. The law provides that Rate My Trucking acts as an intermediary facilitating communication between users and not as the author or publisher of user-generated content. Therefore, the platform cannot be held liable for statements made by third parties on the platform, even if such statements are harmful or unfavorable to any person or entity.

Rate My Trucking reserves the right, but not the obligation, to monitor, moderate and filter content as it deems necessary to ensure compliance with its internal policies and applicable laws. In this regard, the platform has the power to remove or restrict content that it deems offensive, inappropriate, misleading or infringing on third party rights, without assuming responsibility for content that remains posted. This right is protected by Section 230, which protects the platform against any claims related to moderation decisions.

Rate My Trucking also recognizes and abides by applicable Anti-SLAPP laws designed to protect freedom of expression from strategic demands aimed at silencing legitimate opinions. These laws are intended to prevent companies or other parties from using legal process to intimidate or punish users who share their honest experiences and opinions on the platform. In the event that Rate My Trucking or its users are subject to frivolous lawsuits related to content posted on the platform, the company reserves the right to invoke these legal protections to defend both its rights and those of its user community.

By using Rate My Trucking, users agree that the platform is not responsible for the content posted by other users, nor does it guarantee the truthfulness or accuracy of reviews or comments. The platform merely provides a space where users can express themselves freely within the limits set by applicable laws and the platform’s internal policies. In case of disputes related to posted content, users and third parties shall resolve them directly between the parties involved, releasing Rate My Trucking from any liability.

9. LIMITATION OF LIABILITY

Rate My Trucking provides an online platform for users to share and access information based on their personal experiences with trucking companies. While we strive to provide a reliable and functional service, use of the platform is at the user’s own risk. Rate My Trucking does not guarantee the accuracy, completeness, truthfulness or reliability of user-generated content, nor is Rate My Trucking responsible for any opinions, ratings or information posted on the platform. All information shared on Rate My Trucking reflects solely the experiences and perspectives of users and does not constitute endorsement, verification or representation by the platform.

The platform acts solely as an intermediary facilitating the posting and viewing of user-generated content pursuant to 47 U.S.C. Section 230, which protects online platforms from being held liable for content posted by third parties. Rate My Trucking assumes no liability for direct, indirect, incidental, consequential or any other damages that may result from the use of the platform or the information contained in posted reviews, including, without limitation, loss of revenue, business interruption, loss of data or damage to reputation.

The content available on Rate My Trucking should not be construed as legal, financial or professional advice, nor as a warranty regarding the performance of the aforementioned trucking companies. Users are responsible for evaluating and verifying the information posted before making decisions based on it. The platform cannot be held responsible for any errors, omissions or inaccuracies in the content, nor for any actions taken based on the information available on the platform.

Rate My Trucking also does not guarantee the uninterrupted availability of the platform, nor its operation free of errors, viruses or other harmful components. In the event of any interruptions, technical failures or any other problems affecting access to or functionality of the platform, Rate My Trucking shall not be liable for any resulting inconvenience or loss.

In the event that any disputes arise between users or between a user and a trucking company due to content posted on the platform, such disputes must be resolved solely between the parties involved. Rate My Trucking is not involved in the resolution of disputes and is exempt from any liability related to such disputes. In addition, the platform reserves the right to remove or modify any content that violates its policies, but is not obligated to do so.

By using Rate My Trucking, users agree that the platform and its operators, affiliates, employees, agents and representatives shall be held harmless from any liability arising from use of the platform, to the fullest extent permitted by law. This limitation of liability is an essential element of the provision of Rate My Trucking services and applies to any claim, whether in contract, tort or otherwise.

All reviews and comments posted on Rate My Trucking are subjective opinions of individual users. The platform does not conduct factual verification of user claims. Any trucking company or individual that feels content is inaccurate or defamatory may contact us through the provided channels for content review. However, by using this platform, all users and third parties acknowledge that Rate My Trucking is protected under 47 U.S.C. § 230 of the Communications Decency Act and is not liable for user-generated content, including alleged defamation.

10. LICENSE TO USE THE PLATFORM

Rate My Trucking grants the user a personal, worldwide, royalty-free, non-transferable, non-sublicensable, non-exclusive, non-sublicensable license to download and use the Rate My Trucking mobile application, available through the App Store and Google Play Services. This license includes access to modified versions, updates, upgrades, enhancements, extensions, add-ons and copies of the app, if available. The exclusive purpose of this license is to allow the user to access and use the functionalities offered by the platform in accordance with the terms and conditions set forth in this agreement.

The user agrees to use the platform diligently, lawfully and in full compliance with applicable regulations, refraining from any activity that is negligent, fraudulent, harmful or in any way compromises the integrity of Rate My Trucking, its services or the experience of other users. Use of the platform for actions that may damage the reputation, interests or rights of Rate My Trucking, its affiliates or third parties is strictly prohibited, including but not limited to:

Attempting to access unauthorized systems or reverse engineer the platform.
Using the platform to post content that is impermissible, fraudulent or in violation of applicable laws.
Employ automated techniques to interact with the platform in an unauthorized manner.
Engage in activities that may disrupt, overload or compromise the technical operation of the platform.

Rate My Trucking reserves the right, at its sole discretion, to suspend or terminate the user’s access to the platform immediately and without liability to the user, in the event that any breach of the stated conditions is detected. This cancellation may be carried out with or without prior notice, depending on the nature and severity of the breach. In addition, Rate My Trucking reserves the right to take legal action if the improper use of the platform generates economic, technical or reputational damage to the company or third parties.

The user acknowledges that the license granted is revocable and that its continuity depends on full compliance with these conditions. Any unauthorized or prohibited use of the platform may result in the immediate termination of this license and the adoption of the necessary legal measures to protect the rights and interests of Rate My Trucking.

11. COPYRIGHT

All materials on the platform, including, without limitation, names, logos, trademarks, images, text, animations, graphics, videos, photographs, illustrations, software and other elements are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by Rate My Trucking. You acknowledge and agree that all materials on the platform are available for personal, limited, non-commercial use only. Except as specifically provided herein. No material may be copied, reproduced, republished, sold, downloaded, posted, transmitted or distributed in any way, or otherwise used for any purpose, by any person or entity, without the prior express written permission of Rate My Trucking. You may not add to, delete, distort or otherwise modify the material. Any unauthorized attempt to modify any material, to defeat or circumvent any security feature, or to use Rate My Trucking or any part of the material for any purpose other than its intended purpose is strictly prohibited.

12. COPYRIGHT COMPLAINTS

Rate My Trucking will respond to all inquiries, complaints and claims regarding alleged infringement for failure to comply with or violation of the provisions contained in the Digital Millennium Copyright Act (DMCA). Rate My Trucking respects the intellectual property of others, and expects users to do the same. If you believe, in good faith, that any material provided on or in connection with the website infringes your copyright or other intellectual property right, please send us your copyright infringement request pursuant to Section 512 of the Digital Millennium Copyright Act (DMCA), via our contact information, with the following information:

Identification of the intellectual property right that is allegedly infringed. All relevant registration numbers, or a statement concerning the ownership of the work, should be included.
A statement specifically identifying the location of the infringing material, with enough detail that Rate My Trucking may find it on the platform.
Your name, address, telephone number and e-mail address.
A statement by you that you have a good faith belief that the use of the allegedly infringing material is not authorized by the owner of the rights, or its agents, or by law.
A statement by you, made under penalty of perjury, that the information in your notice is accurate, and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
An electronic or physical signature of the owner of the copyright or the person authorized to act on behalf of the owner of the copyright interest.

13. PROHIBITED ACTIVITIES

The following activities are prohibited:

Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content of the platform, including, but not limited to, using any robot, spider, scraper or other automated means or any manual process for any purpose not in accordance with these terms.
Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
Deep-link to any part of our platform for any purpose without our express written permission.
“Frame”, “mirror” or otherwise incorporate any part of the platform into any other platform or service without our prior written permission.
Attempt to modify, translate, adapt, edit, decompile, disassemble or reverse engineer any software used by Rate My Trucking.
Evade, disable or otherwise interfere with security-related features of the platform or features which prevent or restrict the use or copying of any content.

14. DISCLAIMER OF WARRANTIES

Due to the nature of the Internet, Rate My Trucking provides and maintains the platform on an “as is”, “as available” basis and does not promise that use of the platform will be uninterrupted or error free. We shall not be liable to the user or any third party if we are unable to provide our platform and services for any reason beyond our control.

Our platform may from time to time contain links to other platforms which are not under the control of and are not maintained by us. These links are provided for your convenience only and we are not responsible for the content of those sites.

Except as provided above we can give no other warranties, conditions or other terms, express or implied, statutory or otherwise and all such terms are hereby excluded to the maximum extent permitted by law.

You will be responsible for any breach of these terms by you and if you use the platform in breach of these terms you will be liable to and will reimburse Rate My Trucking for any loss or damage caused as a result.

Rate My Trucking shall not be liable for any amount for any failure to perform any obligation hereunder if such failure is due to the occurrence of any unforeseen event beyond its reasonable control, including, without limitation, Internet outages, communications outages, fire, flood, war or force majeure.

These terms do not affect your statutory rights as a consumer which are available to you.

Subject as aforesaid, to the maximum extent permitted by law, Rate My Trucking excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to Rate My Trucking and Rate My Trucking shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

Any incorrect or inaccurate information on the platform.
The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the platform or any product purchased through the platform.
Any loss or damage resulting from your use or the inability to use the platform or resulting from unauthorized access to, or alteration of your transmissions or data in circumstances which are beyond our control.
Any loss of profit, wasted expenditure, corruption or destruction of data or any other loss which does not directly result from something we have done wrong.
Any amount or kind of loss or damage due to viruses or other malicious software that may infect a user’s computer equipment, software, data or other property caused by persons accessing or using content from the platform or from transmissions via emails or attachments received from Rate My Trucking.
All representations, warranties, conditions and other terms which but for this notice would have effect.

15. INDEMNIFICATION

You agree to defend and indemnify Rate My Trucking and any of their directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

Your breach of this agreement or the documents referenced herein.
Your violation of any law or the rights of a third party.
Your use of the platform.

16. CHANGES

We may change the platform and these terms at any time, in our sole discretion and without notice to you. You are responsible for remaining knowledgeable about these terms. Your continued use of the platform constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified herein, all changes to these terms apply to all users take effect.

17. PERSONAL DATA

Any personal information you submit in connection with your use of the platform as a user will be used in accordance with our privacy policy. See our privacy policy.

18. INTEGRATION CLAUSE

This agreement together with the privacy policy and any other legal notices published by Rate My Trucking, shall constitute the entire agreement between you and Rate My Trucking concerning and governs your use of the platform.

19. SEVERABILITY

If any section of these terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. Our failure to enforce or delay in enforcing any provision of these terms at any time does not waive our right to enforce the same or any other provision in the future.

20. FORCE MAJEURE

Rate My Trucking shall not be liable for any failure to perform due to causes beyond its reasonable control, including, without limitation, fortuitous events, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts that may be due to unforeseen circumstances.

21. TERMINATION

Both the user and Rate My Trucking acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.

In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, Rate My Trucking reserves the right to unilaterally terminate the user’s access to and use of the platform. Rate My Trucking may take this action without prior notice, and the User will automatically lose all rights to access and use the platform. Furthermore, Rate My Trucking shall not be liable for any loss of data or information associated with the user’s account.

In case of non-compliance by Rate My Trucking: If Rate My Trucking fails to comply with its obligations under the agreed terms and conditions, the User shall be entitled to terminate the agreement and stop using the platform. The user shall notify Rate My Trucking in writing of the breach and allow a reasonable time for Rate My Trucking to remedy the situation. If Rate My Trucking does not remedy the breach within the set period, the user may proceed with the termination of the agreement.

Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.

Continued use of the platform after termination of the agreement by either party shall imply acceptance of the conditions set forth in the terms and conditions in effect at that time.

22. DISPUTE RESOLUTION

Any dispute, claim or controversy arising between a user and Rate My Trucking in connection with these terms and conditions, the use of the platform or the services provided, shall be resolved exclusively through alternative dispute resolution mechanisms, including mediation and arbitration, as detailed below.

First, both parties agree to use their best efforts to resolve any dispute informally. This includes direct communication between the parties involved to identify and address concerns or disagreements quickly and efficiently. Users may contact Rate My Trucking through designated support channels to raise any disputes. The company commits to respond within a reasonable period of time, providing an opportunity to resolve the issue without resorting to formal procedures.

If the parties fail to resolve the dispute informally within thirty (30) days of initial notification of the dispute, the dispute will be submitted to mediation. The mediation shall be conducted before a neutral mediator selected by mutual agreement of the parties. If the parties are unable to agree on a mediator within an additional fifteen (15) days, a mediator shall be appointed through a recognized mediation agency. The costs of the mediation shall be shared equally between the parties, and the mediation shall be conducted in English and at a mutually agreed location or, if both parties agree, through a virtual platform.

If mediation does not result in a mutually satisfactory resolution, the dispute shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA) or a similar internationally recognized body. The arbitration shall be conducted by a single neutral arbitrator, who shall be selected in accordance with the rules of the arbitration body. The place of arbitration shall be in the United States, in a city agreed upon by the parties or designated by the arbitration body if no agreement is reached. The language of the arbitration shall be English.

The arbitrator shall have exclusive authority to resolve the dispute, including determining the applicability and validity of these dispute resolution terms. The arbitrator’s decision shall be final and binding on both parties, and may be entered as a judgment in any court of competent jurisdiction. Unless prohibited by applicable law, the parties agree to waive any right to bring the dispute in court or to participate in a class action.

This dispute resolution clause does not preclude Rate My Trucking from seeking injunctive or equitable relief in the event of intellectual property rights infringement, misuse of the platform, or any act that may cause irreparable harm, in which case it may go directly to a court of competent jurisdiction without exhausting alternative dispute resolution mechanisms.

By accepting these terms, users expressly waive any right to a jury trial and agree that all disputes will be resolved in accordance with the procedures set forth in this clause, with the objective of minimizing the costs and time associated with formal litigation. The parties assume their own costs associated with mediation and arbitration, unless otherwise agreed or specifically provided by the arbitrator.

You agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and not in a class, consolidated, or representative action. You waive the right to participate in any class actions or class arbitrations.

23. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of the United States, specifically the laws of the State of Nevada. Any dispute relating to these terms shall be subject to the exclusive jurisdiction of the state or federal courts of the State of Nevada. This applies unless binding arbitration is agreed to in the applicable section.

24. FINAL PROVISIONS

Your use of our platform and purchase of our products is conditioned upon your acceptance of and compliance with all of the terms and conditions set forth. This authorization to use our services does not extend to jurisdictions where these provisions are not respected or applied.

Our commitment to compliance with these terms is strictly governed by applicable laws and legal process. Importantly, these terms do not restrict our ability to comply with legal or governmental requirements, including but not limited to those relating to law enforcement and the use of our platform. Information provided or collected in connection with your use of the platform and purchase of our products will be subject to these requirements.

In the event that any provision of these terms and conditions shall be declared invalid, illegal or unenforceable by any court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions. The failure or delay in enforcing any of these terms and conditions by us at any time shall not constitute a waiver of our rights to enforce such provision, or any other provision, in the future.

We reserve all rights not expressly granted herein, while at all times maintaining the protection of and respect for our intellectual property rights and prerogatives.
